1. Definitions

  • Service Provider means the registered owner of ngp.com.au and all associated commercial entities, representatives and employees.

  • Customer means the person or persons to whom services are being provided, as described in the quote provided to them and accepted by them.

2. Agreement

By accepting a quote from the Service Provider, the Customer agrees to the following terms and conditions. These terms constitute a legally binding agreement between the Service Provider and the Customer.

3. Services

The Service Provider agrees to provide the services as outlined in the agreed-upon quote. Any changes to the scope of services must be mutually agreed upon in writing.

4. Payment

  1. The Customer agrees to pay the Service Provider the agreed-upon fee for the services provided. Payment shall be made in accordance with the payment schedule stated in the invoice or agreement.

  2. In the event of any additional services requested by the Customer that are beyond the original scope, the Service Provider shall provide an estimate for these services, and work will commence upon acceptance and payment of the additional charges.

5. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes but is not limited to business plans, financial information, and proprietary processes.

6. Intellectual Property

  1. The Customer retains ownership of any intellectual property provided to the Service Provider for the purpose of rendering services.

  2. The Service Provider retains ownership of any intellectual property developed or created during the provision of services, unless otherwise specified in writing.

7. Termination

Either party may terminate this agreement with written notice in the event of a material breach of these terms. Upon termination, the Customer shall pay for all services provided up to the termination date.

8. Limitation of Liability

The Service Provider shall not be liable for any indirect, consequential, or incidental damages arising from the provision of services, except where prohibited by law.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Australian state in which the Service Provider is registered or is providing services in accordance with these Terms and Conditions.

10. Entire Agreement

This document constitutes the entire agreement between the parties, supersedes any prior understandings or agreements, and may not be modified except in writing and signed by both parties.

11. Acceptance

By engaging the Service Provider’s services, the Customer acknowledges that they have read, understood, and agree to these Terms and Conditions.
